Terms & Conditions
1. Who we are
Beyaz Digital provides the services described in these terms.
Brussels, Belgium
Enterprise number (KBO/BCE): 1040.799.310
VAT number: BE 1040.799.310
Email: hello@beyaz.be
In these terms, "Beyaz", "we" and "us" refer to the above. "Client" or "you" refers to the person or business that engages Beyaz.
2. When these terms apply
2.1. These terms apply to all proposals, quotes, agreements and services provided by Beyaz, unless otherwise agreed in writing.
2.2. Where a specific proposal, quote, service agreement or written confirmation agreed with you differs from these terms, that specific agreement prevails.
2.3. Your own general terms and conditions do not apply unless Beyaz has expressly accepted them in writing.
2.4. Beyaz's services are intended for businesses and for people acting for business purposes, including people preparing to start a business. By accepting a proposal, you confirm that you are engaging Beyaz for such purposes. If you are nevertheless considered a consumer under Belgian law, section 13 also applies.
3. Proposals and agreements
3.1. The scope, deliverables, timing and fees of each assignment are tailored to your needs and set out in a proposal, quote, service agreement or other written communication, including email.
3.2. Unless stated otherwise, a proposal remains valid for 30 days.
3.3. An agreement is formed when you accept a proposal in writing, including by email or another clear written confirmation.
3.4. Work outside the agreed scope, or substantial additional assignments, will be agreed with you before the work begins and may be subject to separate terms or fees.
4. How we work
4.1. Beyaz performs its services independently and organises its own methods, tools, working hours and location, while respecting the objectives, priorities, deadlines and requirements agreed with you. Nothing in our cooperation creates an employment relationship, partnership or joint venture.
4.2. We perform our services with professional care and diligence. Our commitments are obligations of means: unless expressly agreed otherwise in writing, we do not guarantee any particular commercial, financial, marketing or other result, such as sales, rankings, reach or followers.
4.3. Our cooperation is non-exclusive. Beyaz remains free to work for other clients, including businesses in the same or related sectors, while always respecting the confidentiality obligations in section 9.
4.4. Where useful for a particular service, Beyaz may engage external specialists or contractors. Where they will have access to your confidential information, systems or accounts, or will work directly on your behalf, we will ask for your approval first. Beyaz remains responsible for coordinating any work carried out through us.
4.5. Where agreed, Beyaz may communicate with third parties on your behalf, for example suppliers, customers or service providers. This does not give Beyaz the authority to sign contracts or make financial commitments in your name unless you have specifically authorised it.
5. Your responsibilities
5.1. You agree to provide, in good time, the information, access, materials, approvals and cooperation reasonably needed to perform the services. Delays or issues caused by missing, late, incomplete or inaccurate information or materials are not a breach by Beyaz, and agreed timelines may be adjusted accordingly.
5.2. You are responsible for ensuring that you hold the necessary rights to any content, logos, trademarks, photographs, texts, data and other materials you provide to us, and that their use for the services is lawful.
5.3. You are responsible for reviewing work submitted for your approval. Your review and approval of a deliverable, communication, campaign or publication before it is implemented or published is taken into account when determining responsibility.
6. Fees, invoicing and payment
6.1. Fees are agreed per client and per assignment, and may be hourly, project-based, fixed or recurring, as set out in the proposal or agreement. All fees are exclusive of VAT, which is added in accordance with Belgian law.
6.2. For services billed on a time basis, we invoice the time actually spent and keep a record of hours, which is available on request. Unless agreed otherwise, there is no minimum number of hours.
6.3. For project-based work, the project fee is communicated and approved before the work begins. Where agreed in the proposal, Beyaz may invoice an advance or instalments, including at the start of the work.
6.4. Unless otherwise stated on the invoice or agreed in writing, invoices are payable within 14 calendar days of the invoice date, to the bank account indicated on the invoice.
6.5. Any question or dispute about an invoice should be raised in writing within 14 calendar days of the invoice date.
6.6. In the event of late payment, Beyaz is entitled to interest and compensation for recovery costs in accordance with the Belgian Law of 2 August 2002 on combating late payment in commercial transactions. After a written reminder, Beyaz may also suspend the services until outstanding amounts have been paid.
7. Expenses
7.1. Beyaz bears the ordinary costs of running its business and performing the services.
7.2. Third-party costs incurred specifically for you, such as paid software, subscriptions, stock materials, advertising spend, printing, production or travel costs, are only charged where you have approved them in advance. They are invoiced with supporting documentation and are payable under the same terms as our fees. Some costs, such as advertising spend or subscriptions, may also be paid by you directly.
8. Intellectual property
8.1. Once the applicable fees have been paid in full, the economic intellectual property rights in the final deliverables created specifically for you are transferred to you, to the extent that Beyaz owns those rights and they can legally be transferred. This includes the right to use, reproduce, publish, distribute, adapt and modify those deliverables for your business activities.
8.2. Beyaz keeps ownership of its pre-existing or reusable materials, such as methods, processes, templates, tools, know-how, concepts and techniques that were not created specifically for you. Where these are included in a deliverable, you may use them as part of that deliverable for your business, without acquiring ownership of the underlying element.
8.3. Third-party elements, such as software, platforms, plugins, fonts, stock images and other licensed materials, remain subject to their own licence terms and are not transferred beyond what those licences allow.
8.4. Moral rights are not waived or transferred where Belgian law does not allow this.
8.5. Materials you supply to us, including your content, trademarks, logos, photographs and documents, remain the property of you or their respective rights holders.
8.6. Unless agreed otherwise in writing, Beyaz may show work for you that has already been made public, such as websites, published content, campaigns and visuals, in its portfolio, on its website and social media, and in proposals. This never includes confidential or non-public information.
9. Confidentiality
9.1. Both parties keep confidential all non-public information received from each other in connection with the services, such as business plans, financial information, pricing, customer and supplier information, strategies, technical information, login credentials and internal documents. Such information is used only to perform or receive the services.
9.2. The terms of our agreement, including fees and other financial arrangements, are also confidential.
9.3. Confidential information may be shared where reasonably necessary with accountants, lawyers, advisers, insurers or competent authorities, or with approved external specialists working on the services, provided they are bound by appropriate confidentiality obligations.
9.4. These obligations do not apply to information that is or becomes public through no breach of these terms, was already lawfully known, is lawfully received from a third party without a duty of confidentiality, or must be disclosed by law or court order.
9.5. At the end of our cooperation, each party will, on reasonable request, return or delete the other party's confidential materials, except where retention is required by law or reasonably necessary for accounting, legal or record-keeping purposes.
9.6. Confidentiality obligations continue for five years after the end of the cooperation.
10. Data protection and account access
10.1. How Beyaz handles its own clients' and website visitors' personal data is explained in our Privacy & Cookies notice.
10.2. Where Beyaz processes personal data on your behalf as part of the services, for example customer, contact or participant data, you act as the data controller and Beyaz acts as the data processor. In that case, Beyaz will:
- process the personal data only to perform the services and on your documented instructions, unless otherwise required by law;
- ensure that people authorised to access the data are bound by confidentiality;
- take appropriate technical and organisational measures to protect the data;
- only use another processor (such as an external specialist) with your prior authorisation, and under equivalent data protection obligations;
- assist you, where reasonable, in responding to requests from individuals exercising their rights and in meeting your other data protection obligations;
- inform you without undue delay after becoming aware of a personal data breach affecting your data;
- at the end of the services and at your choice, delete or return the personal data, unless retention is required by law; and
- make available the information needed to demonstrate compliance with these obligations, and allow for and contribute to reasonable audits.
10.3. You remain responsible for ensuring that the personal data you provide has been lawfully collected and may lawfully be processed for the purposes for which you instruct Beyaz.
10.4. Where you provide login credentials, administrator access or payment information, Beyaz will use them only as reasonably necessary to perform authorised services and will treat them as strictly confidential. You remain responsible for your accounts, systems, payment instruments, authorised users and payment limits.
10.5. Beyaz will not make purchases, payments or financial commitments using your payment information without your prior authorisation.
10.6. Beyaz is not responsible for unauthorised access, transactions or security incidents caused by circumstances outside its reasonable control, such as credentials shared with others, pre-existing security weaknesses, compromised accounts, third-party systems or actions of other authorised users.
10.7. On request, or when our cooperation ends, Beyaz will stop using your access credentials and payment information and securely delete any copies, except where retention is required by law.
11. Liability
11.1. If an error or omission in the services can reasonably be corrected, Beyaz must first be given the opportunity to correct or redo the affected work within a reasonable period. To the extent permitted by law, this is your primary remedy for that error or omission.
11.2. Beyaz is not liable for delays, errors or losses caused by circumstances outside its reasonable control, including actions or failures of third parties, changes or disruptions to third-party platforms and services, or your own decisions, instructions, approvals or actions.
11.3. Except where liability cannot legally be excluded or limited, Beyaz is only liable for damage caused by its fraud, intentional misconduct or gross negligence.
11.4. Beyaz is never liable for indirect or consequential damage, such as loss of profit, revenue, opportunity, anticipated savings, reputation or business, except where such a limitation is prohibited by law.
11.5. Except where liability cannot legally be limited, Beyaz's total liability is limited to the fees paid or payable for the specific service or project that gave rise to the claim.
11.6. Nothing in these terms excludes or limits liability where mandatory Belgian law does not allow this.
12. Duration and termination
12.1. A project-based assignment ends when the agreed work has been completed and paid for.
12.2. Ongoing services continue for an indefinite period unless agreed otherwise. Unless the agreement says otherwise, either party may end them at any time with 30 calendar days' written notice, including by email, without giving a reason. During the notice period, both parties continue to fulfil their obligations unless agreed otherwise.
12.3. Either party may end the cooperation with immediate effect if the other party commits a serious breach that makes continuing the cooperation reasonably impossible. Where the breach can be remedied, the party in breach is first given a reasonable opportunity to remedy it after written notice.
12.4. If the cooperation or a project ends early, you remain liable for the services performed, approved expenses and commitments made up to the effective date of termination.
12.5. Clauses that by their nature are intended to continue after termination, including those on payment, intellectual property, confidentiality, data protection and liability, remain in effect.
13. Clients who are consumers
13.1. If you are a consumer under Belgian law, meaning that you act for purposes outside any trade, business or profession, the mandatory consumer protection rules always apply in addition to these terms. Any clause in these terms applies to you only to the extent permitted by those rules.
13.2. Right of withdrawal: if you are a consumer and the agreement is concluded at a distance (for example by email, phone or WhatsApp) or outside our business premises, you may withdraw from it within 14 days of its conclusion without giving a reason. To do so, send a clear statement to hello@beyaz.be. You may use the EU model withdrawal form, but this is not required. We will refund any payments received from you within 14 days of receiving your withdrawal.
13.3. If you expressly ask us to start the services during the withdrawal period and then withdraw, you pay an amount proportionate to the services provided until you informed us of your withdrawal. You lose your right of withdrawal once the service has been fully performed, if performance began with your express prior consent and your acknowledgement that you would lose the right once the service was fully performed.
13.4. The limitations of liability in section 11 do not apply to consumers where the law prohibits them.
13.5. Consumers may also contact the Belgian Consumer Mediation Service (Consumentenombudsdienst / Service de Médiation pour le Consommateur) for help resolving a dispute, and may bring a claim before the courts designated by law.
14. General
14.1. The proposal or agreement, together with these terms and any written project-specific terms, forms the entire agreement between you and Beyaz on its subject.
14.2. Changes to an agreement must be agreed by both parties in writing, including by email.
14.3. If any provision is found invalid or unenforceable, the remaining provisions remain in force, and the affected provision will be replaced by a valid one that comes as close as possible to the original intention.
14.4. Neither party may transfer the agreement to a third party without the other party's prior consent, except in the case of a legal restructuring, merger, succession or transfer of business. Beyaz's use of external specialists in line with these terms is not a transfer.
14.5. Notices may be given by email to the usual professional email address of the relevant party, unless the law requires another form.
14.6. Beyaz may update these terms from time to time. The version in force when an agreement is concluded applies to that agreement, unless both parties agree otherwise.
15. Applicable law and disputes
15.1. These terms and all agreements with Beyaz are governed exclusively by Belgian law.
15.2. Both parties will first try to resolve any dispute amicably through direct discussion. If that fails, they will attempt mediation with an accredited civil or commercial mediator chosen by both parties before going to court.
15.3. If mediation fails, is refused or cannot reasonably take place, the dispute may be brought before the competent courts of Brussels, Belgium, without prejudice to the mandatory rules on jurisdiction that protect consumers.
15.4. This does not prevent either party from seeking urgent or protective measures from a court where reasonably necessary.
